Terms & Conditions

1) Definitions

• Service: Outbuyer's subscription-based search product and associated website, APIs, dashboards, and support.
• Subscription: Month-to-month, auto-renewing paid access to the Service.
• User / you: The individual or entity accessing or using the Service.
• Content: Text, data, software, designs, logos, and other materials within the Service.

2) Eligibility; Territory

• You must be at least 18 years old to use the Service.
• The Service is offered to users in the United States only.
• We operate from Texas and make no representation that the Service is appropriate outside the United States.

3) Accounts & Authentication

• Account registration is required. Authentication is provided via Google through Firebase.
• You must provide accurate information and keep it current. You are responsible for all activity under your account and for safeguarding your login credentials.
• We may suspend or terminate accounts for violation of these Terms or to protect the Service or other users.

4) Subscriptions, Billing & Payments

• Subscriptions are billed in U.S. dollars (USD) via Stripe using the payment methods Stripe supports.
• Auto-renewal: Subscriptions renew monthly until cancelled. Your "billing date" is the date of initial purchase each month.
• Cancellation: You can cancel any time by logging in and selecting Cancel before the next billing date. Cancellations take effect at the end of the then-current billing period.
• Taxes: Prices exclude applicable taxes, which may be charged where required.

5) Service Availability; Credits & Refunds

• We aim for reliable access but the Service may be unavailable due to maintenance, outages, or factors outside our control.
• Refund/Credit Policy: If the Service is not operational for more than half of a given monthly billing period (i.e., availability < 50% during that period), you may request a prorated credit or refund for that month by contacting support@outbuyer.com within 30 days of the affected billing period.

6) Acceptable Use

You agree not to:

• Engage in hate speech, illegal activity, or vulgar content.
• Attempt to interfere with or disrupt the Service, including by scraping, rate-limiting evasion, reverse engineering (except as permitted by law), or unauthorized access.
• Use the Service in a way that violates applicable laws or third-party rights.

7) Intellectual Property

• Ownership: Outbuyer owns all right, title, and interest in and to the Service and all Content, including all intellectual property rights.
• License to You: Subject to these Terms and timely payment of fees, Outbuyer grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during your active Subscription for your internal business or personal use.
• Restrictions: Except as expressly permitted, you may not copy, modify, distribute, host, sell, or create derivative works of the Service or Content.
• Trademarks: Outbuyer's names, logos, and marks are trademarks of Outbuyer LLC. You may not use them without our prior written permission.

8) User Content

• If the Service allows you to submit content (e.g., reviews, feedback), you represent you have the necessary rights to do so and that your content complies with the Acceptable Use rules.
• You retain ownership of your submissions. You grant Outbuyer a worldwide, royalty-free, non-exclusive license to use, reproduce, display, and create derivative works from your submissions solely to operate, improve, and promote the Service.

9) Privacy & Data

• We collect minimal personal information—generally your email address—and authenticate via Google through Firebase. See our Privacy Policy for details.
• We do not knowingly collect personal information from individuals under 18, and the Service is not for those under 18.
• We strive to comply with applicable U.S. privacy laws, including Texas privacy requirements, as applicable to our operations. For requests or questions, contact support@outbuyer.com.

10) Third-Party Services

The Service may integrate with or rely on third-party services (e.g., Google/Firebase for authentication and Stripe for payments). Your use of those services may be subject to their terms and privacy policies. We are not responsible for third-party services.

11) Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12) Limitation of Liability

• TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTBUYER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO OUTBUYER FOR THE SERVICE IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

13) Indemnification

You will indemnify and hold harmless Outbuyer and our affiliates, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.

14) Force Majeure

We are not liable for delay or failure to perform due to events beyond our reasonable control, including acts of God, labor disputes, internet or utility failures, government actions, or other force majeure events.

15) Governing Law; Disputes

• These Terms are governed by the laws of the State of Texas, without regard to conflict of laws rules.
• Mediation: Before initiating litigation, the parties will attempt in good faith to resolve disputes by non-binding mediation in Harris County, Texas. If mediation fails, disputes may be brought in the state or federal courts located in Harris County, Texas, and the parties consent to their personal jurisdiction and venue.
• Class Action Waiver: Disputes must be brought on an individual basis and not as a plaintiff or class member in any class or representative action.

16) Suspension & Termination

We may suspend or terminate your access to the Service immediately if you violate these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ceases, but Sections that by their nature should survive (e.g., IP, Disclaimers, Limitation of Liability, Indemnification, Governing Law) will survive.

17) Changes to the Service or Terms

• We may modify the Service at any time.
• We may update these Terms by posting an updated version on the site. Changes are effective immediately upon posting unless otherwise stated. Your continued use of the Service after changes become effective constitutes acceptance.

We'll post notice on the site when Terms change.

18) Notices

We may provide notices by posting to the site or by email to the address associated with your account. You agree that electronic communications satisfy any legal communications requirements. 19) Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Outbuyer regarding the Service and supersede prior agreements.
• Severability: If any provision is held invalid, the remaining provisions remain in full force.
• No Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Language: These Terms are provided in English.
